1. What NidBo is

NidBo is a digital platform that gives employees early access to earned wages (EWA) and access to micro-loans, and at the same time serves employers as a tool for administering these services for their employees.

The platform is operated by NidBo s.r.o. (the “Operator” or “NidBo”). The platform is available at app.nidbo.com and in the corresponding mobile applications. When a loan is provided, NidBo s.r.o. acts as the creditor.

These terms and conditions, published on the marketing website nidbo.com, are informative and serve as a signpost and guidance. The binding contractual terms are contained in the individual legal documents listed below, which are accepted within the application.

2. Signpost — which document applies to you

The following table maps the type of user to the relevant binding documents. Specific rights and obligations always follow from the full wording of the document in question. The binding documents are published in Slovak.

Note — referral programme: The referral programme is currently being prepared and is not in operation. The related document is kept as a working draft; no user is entitled to any bonuses from this programme until it is launched.

3. How and where the terms are accepted

The binding documents are accepted electronically directly in the application, namely:

• when a user registers on the Platform — when creating an account, the user confirms their agreement with the General Terms and Conditions,
• when the Framework Agreement is concluded between the Company and NidBo (by the Company’s statutory representative or an authorised person),
• when each individual loan is drawn — the Employee signs the Loan Annex.

Acceptance of the relevant terms is a necessary condition for using the Platform and drawing the Services. Without giving consent, the account cannot be used and a loan cannot be drawn.

Contract documents are signed electronically through the integrated Documenso platform. An electronic signature made through Documenso has the same legal force as a handwritten signature under Act No. 272/2016 Coll. and the eIDAS Regulation (EU) No. 910/2014.

Communication with the user takes place by e-mail, SMS, push notifications and in-app notifications. Some notifications are mandatory and cannot be switched off (approval/rejection of a request, loan payout, reminder before the due date, penalty).

4. Personal data protection and cookies

NidBo s.r.o. acts as the controller of users’ personal data within the meaning of Regulation (EU) 2016/679 (GDPR). The Company (employer) acts as a processor of its employees’ data, and the Framework Agreement serves as the data processing agreement under Article 28 GDPR.

5. Changes to the terms

The Operator is entitled to change and supplement the General Terms and Conditions. The user will be informed of a change by e-mail at least 30 days before it takes effect and at the same time by a notification in the application. The current wording of all documents is always available in the /legal/ section and within the application.

6. Governing law and dispute resolution

Legal relationships arising from the use of the Platform and from the contractual documents are governed by the law of the Slovak Republic, in particular:

• Act No. 40/1964 Coll., the Civil Code,
• Act No. 129/2010 Coll. on consumer credit,
• Act No. 311/2001 Coll., the Labour Code (in the part concerning wage deductions; deductions under Section 131 of the Labour Code).

Consumers (including Employees) have the right to turn to the Slovak Trade Inspection (SOI) as the body for the out-of-court resolution of consumer disputes.
